Terms of Trade

The following terms and conditions outline the agreement between Lisa Rushworth on behalf of Papercrane Design Ltd and clients commissioning graphic design services.

By engaging our services and approving a proposal, clients agree to the following terms:

1 ]. Payment Terms: Upon acceptance of the costing, a 50% deposit of the full amount is required before work commences. An invoice will be issued, and payment of the deposit is acceptance of these terms. This confirms both parties' commitment to the project. On payment of deposit, a first meeting is scheduled, and project timeframes are confirmed.

2 ]. Project management: Work will not commence on any project until an estimate, proposal or quote is accepted. Estimates are valid for 14 days from the date indicated. Estimates, proposals or quotes not accepted within the 14-day timeframe may be subject to revision.

If there are client delays of more than 2 weeks to review designs or provide text and image content, we will halt any further work on the project, and the client will be billed for work done to date.

Scope of project: - Any adjustments or additions to what has already been costed will be approached on a quote-by-quote basis for each change or addition. For example, if the scope of one of the itemised prices increases, or work that is additional to the agreed job description is requested, we will clearly outline the additional cost before this work commences.

3 ]. Accuracy of Information: The client is responsible for providing accurate and complete information regarding their project. Papercrane Design Ltd is not liable for any errors or omissions resulting from incorrect or incomplete information provided by the client.

4 ]. Design Approval: The client is required to review and approve all designs and files before final production. Once approved, Papercrane Design Ltd is not responsible for any errors, including but not limited to grammatical errors, typographical errors, incorrect information, design flaws or production artwork errors that were present in the approved files.

5 ]. Ownership of Design and Files: Concept and proof documents during the quote and design process are owned by Papercrane Design Ltd. These cannot be shared, privately or publicly, or posted to social media or any website. When a project is finished and/or the full project fee is paid, ownership transfers to the client. The client owns the right to use 'final artwork' (supplied files and PDF print files), but not the right to alter, edit and change the final agreed and supplied design. Papercrane Design retains ownership of all the working design files and all non-final design drafts. Papercrane Design Ltd retains the rights to use completed projects in promotional or marketing materials.

6 ].  Deposits and Payments: Before work begins, a deposit of 50% of the project is paid in advance and before work is scheduled. The project will be scheduled once payment has been received. We also invoice a progress payment of 25% (dependent on size of project). The remaining 25% will be invoiced on completion of the project and before final files are prepped and released to the client.

6a ]. Printing costs: Invoices for printed collateral from 3rd party print suppliers, are required to be paid in advance of receiving the printed goods.

7 ]. Invoicing and Payments: If an invoice is overdue, we reserve the right to disable your website until payment is made. Any print work or files will also be held until payment has cleared. Invoices not paid within 15 days of the due date, and without any prior arrangements, will accrue daily interest. Full recovery costs, including interest, legal, and debt collection, will be charged in addition to the original invoice cost.

8 ]. Storage of Electronic Images and/or Files: – It is the customer's responsibility to retain a copy of any image or file supplied. Papercrane Design Ltd is not responsible for accidental damage to any material supplied. A fee will be charged to retrieve and transfer any digital files after a project has been completed and all files have already been supplied. Any additional editing or programming needed to supplied files or images will be charged. 

9 ]. Third-Party Services: Papercrane Design Ltd may at times utilise other businesses' services (for example printers) to complete certain aspects of the project. We are not responsible for the quality, performance, or delivery of services provided by third parties.

10 ]. Limitation of Liability: Papercrane Design Ltd will not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the design work. This includes, but is not limited to, loss of business, revenue, profits, or data.

11 ]. Intellectual Property Rights: The client warrants that they hold the necessary rights or licenses to use any content (e.g. images, text, logos, and business names) provided to Papercrane Design Ltd for the project. The client agrees to indemnify and hold Papercrane Design Ltd and Lisa Rushworth harmless from any claims or legal actions related to intellectual property infringement.

12 ]. Colour Proofs for printing: There is no guarantee that production prints will exactly match colour proofs because of variations in proof preparation methods and substrates. The supplier will however, use its best endeavours to provide a commercially acceptable finished product.
